Tradesy Terms of Service

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING TRADESY (“WE,” “US,” “OUR”) AT TRADESYTRADE.COM OR ANY RELATED MOBILE OR WEB APPLICATION (COLLECTIVELY, THE “SERVICES”), YOU (“USER,” “YOU,” OR “YOUR”) AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT ACCEPT THESE TERMS, DO NOT USE THE SERVICES.

1. Acceptance of Terms

By creating an account, buying tokens, posting a trade, sending a message, or otherwise using the Services, you enter into a binding contract with Tradesy, LLC, an Oregon limited-liability company (“Tradesy”). If you are under the age of 18, you represent that you have the consent of a parent or legal guardian. You may not use the Services if you are under 13.

2. Changes to Terms

We may modify these Terms at any time. Material changes will be announced by e-mail or a notice on the Site at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.

3. Eligibility & Age Requirements

You must be at least 13 years old to create an account. Users aged 13–17 must have parental consent. Accounts are limited to natural persons; automated bots are not permitted.

4. Account Registration & Security

  • You agree to provide accurate information and keep it current.
  • You are responsible for safeguarding your login credentials.
  • You agree not to share or sell your account.
  • You will immediately notify Tradesy of any unauthorized use.

5. User Content & Conduct

You retain ownership of content you post. By submitting content, you grant Tradesy a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content as needed to operate the Services. You represent that you have all rights necessary to grant this license and that your content does not violate any law or third-party right.

6. Prohibited Listings and Activities

You may not post, trade, or solicit:

  • Illegal items or services, stolen property, or counterfeit goods.
  • Controlled substances, drug paraphernalia, or adult content.
  • Firearms, ammunition, explosives, or other regulated weapons unless all required licenses (e.g., FFL) and transfers occur entirely off-platform in full compliance with applicable law. Tradesy is not a party to, and disclaims all responsibility for, any such off-platform transactions.
  • Listings or messages that are fraudulent, defamatory, or infringe intellectual-property rights.
  • Any activity that violates law, compromises the security of the Services, or interferes with other users.

7. Tokens and Virtual Items

a. Nature of Tokens. Tokens are a virtual, non-transferable feature used solely within the Services to accept trades. Tokens have no cash or monetary value, are not refundable or redeemable for currency, and never expire.

b. Purchasing Tokens. You may buy tokens from Tradesy at prices and in bundles posted at the time of purchase. All token sales are final.

c. Use of Tokens. When you spend tokens to accept a trade, those tokens are automatically returned once both parties leave the required review. Tokens used for rejected or abandoned trades are forfeited.

d. Changes. Tradesy may change token pricing, earning, or spending requirements at any time.

8. Fees & Purchases

You may buy paid advertisements or promoted listings. All fees, including token purchases, are quoted in U.S. dollars and are non-refundable except as required by law. Taxes, if any, are your responsibility.

9. Marketplace Role & Trade Disclaimers

Tradesy provides a venue for users to discover and arrange trades. Tradesy is not a party to trades, does not take possession of items or supervise services, and does not guarantee completion or quality. Users may exchange contact details and complete deals off-platform. Tradesy disclaims all liability for off-platform communications and transactions.

10. Warranty Disclaimer

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TRADESY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY CONTENT OR INFORMATION IS ACCURATE, RELIABLE, OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADESY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS (US$100) OR (B) THE AMOUNTS YOU PAID TO TRADESY DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL TRADESY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You will defend, indemnify, and hold harmless Tradesy, its officers, directors, employees, and agents from any third-party claim, demand, loss, or damage (including reasonable attorneys’ fees) arising out of (i) your content, (ii) your trades or advertisements, or (iii) your breach of these Terms or any law.

13. Dispute Resolution; Arbitration; Class-Action Waiver

a. Binding Arbitration. Except for disputes that may be brought in small-claims court, any controversy arising out of these Terms or the Services will be resolved by individual binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.

b. Class-Action Waiver. YOU AND TRADESY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

c. Governing Law. Oregon law (without regard to conflict-of-laws principles) governs these Terms and any dispute, except that the Federal Arbitration Act governs the arbitration clause.

14. Suspension & Termination

Tradesy may suspend or terminate your account or access to the Services at any time, with or without notice, for any reason or no reason, including violations of these Terms, inactivity, or to protect the platform.

15. Governing Law & Venue

Except as otherwise provided in Section 13, you agree that any judicial proceeding (e.g., to compel arbitration or enforce an arbitral award) will be brought exclusively in the state or federal courts located in Oregon, and you consent to personal jurisdiction and venue in those courts.

16. Miscellaneous

  • Assignment. Tradesy may assign these Terms, in whole or in part, at any time. You may not assign your rights or obligations without Tradesy’s prior consent.
  • Severability. If any provision is found unenforceable, the remaining provisions will remain in effect.
  • Entire Agreement. These Terms constitute the entire agreement between you and Tradesy regarding the Services and supersede all prior agreements.
  • Headings. Section headings are for convenience only and have no legal effect.
  • Waiver. Failure to enforce any provision will not constitute a waiver of future enforcement.
